Form of proxy for use at the annual general meeting of Festival Medical Services Limited (FMS) to be held at Mendip Springs Golf Club, Honey Hall Lane, Congresbury, North Somerset on Saturday 9 February 2013 at 1500 hours or at any adjournment.
Please read the notice of meeting and the explanatory notes below before completing this form.

as my proxy to exercise all or any of my rights to attend, to speak and to vote for me on my behalf at the annual general meeting of FMS to be held on Saturday 9 February 2013 at 1500 hours and at any adjournment meeting.
I have indicated with an "x" how I wish my proxy to vote on the resolutions to be proposed at the meeting. I further direct my proxy to vote (or refrain from voting) as he/she thinks fit for me and on my behalf on any other matter which may properly come before the meeting or any adjournment meeting. Notes:
1 A proxy need not be a member of FMS. A member who is entitled to attend and vote at the meeting is entitled to appoint another person, as his proxy to exercise all or any of his rights to attend and to speak and vote at the meeting.
2 The appointment of the chairman of the meeting as proxy has been included for convenience. To appoint any other person as proxy delete the words "the chairman of the meeting or" and insert the name of the person appointed proxy in the space provided.
3 Unless otherwise instructed, a proxy may vote on the resolutions and in respect of any other business which may properly come before the meeting, at his discretion.
4 This form must be signed and dated by the member.
5 To be valid, the form of proxy must be completed, signed and returned so as to reach FMS by no later than 12 noon on Thursday 7 February 2013.
6 Appointment of a proxy will not prevent a member from attending the meeting and voting in person.
